Pixelworks Completes Acquisition of Jaldi Semiconductor Corporation

TUALATIN, Ore., Sep 10, 2002 (BUSINESS WIRE) -- Pixelworks, Inc. (Nasdaq:PXLW), a leading provider of system-on-a-chip ICs for the advanced display market, today announced that it has completed the acquisition of Jaldi Semiconductor Corporation, a privately held fabless semiconductor company based near Toronto in Richmond Hill, Ontario.

Jaldi's technology will expand Pixelworks' product portfolio for the digital television market. Jaldi's high-performance reconfigurable DSP semiconductor designs include advanced features and outstanding picture quality for a new generation of standard and high-definition digital televisions.

The acquisition will be accounted for under the purchase method of accounting. Under terms of the acquisition, Pixelworks will issue 1.85 million shares of its Common Stock in exchange for all of the remaining outstanding shares and options of Jaldi Semiconductor Corporation. In January 2001, Pixelworks invested $7.5 million in exchange for a minority equity interest in Jaldi Semiconductor. Pixelworks expects to record a one-time charge in the quarter ending September 30, 2002 for purchased in-process research and development expenses related to the acquisition.
