Item 8.01 Other Events.
Pixelworks, Inc. (the "Company") entered into an agreement with a third-party to provide a non-exclusive license for a package of its technologies and to provide certain services. Under the terms of the agreement, the Company expects to receive approximately $10.3 million over the next six to nine months. Portions of such payments are subject to the achievement of certain milestones. The Company may also over time receive royalty payments (in addition to the payments referenced in the preceding sentence) subject to certain conditions and limitations. There can be no assurance that the full amount of the $10.3 million or any royalty payments will be received by the Company.
